BYLAWS OF THE SINGING ARROW NEIGHBORHOOD ASSOCIATION -- AMENDED 2001
ARTICLE I - NAME
The name of this association shall be the Singing Arrow Neighborhood Association.
ARTICLE II - PURPOSE
The purpose of the Association shall be to enhance that area of the City of Albuquerque south of Central Avenue, east of Juan Tabo Boulevard excluding the Four Hills Mobile Home Park, north of the northern rim of Tijeras Arroyo, and west of Four Hills Road so that the quality of life in the area shall be in keeping with the social, environmental, and cultural needs and interests of the residents or property owners. To this end, the Association may, but is not limited to, sponsor cooperative planning, research, fund raising, neighborhood security, and public education programs as they are deemed necessary, provided they are consistent with one or more of the purposes set out in Section 501(c)(3) of the Internal Revenue Code or any applicable corresponding section of the law.
ARTICLE III - MEMBERSHIP
Section 1: There shall be five types of membership in the Association: Regular, Business/Institution, Associate, Honorary, and Lifetime.
Section 2: The Regular membership shall be composed of any individuals or families resident within the Association boundaries and non-resident, non-business property owners whose property is within or adjacent to the Association boundaries. Business/Institution members shall have their facilities within the association boundaries. Associate membership shall include any non-resident individual, family, business or institution, or other neighborhood association sympathetic to the purpose of the Association as defined herein. Honorary memberships may be given to first time members or new residents until the next annual enrollment. Lifetime memberships are identical to Regular memberships except all future dues are completely paid.
Section 3: Voting privileges shall be: one vote per Regular member, no more than two votes per family, and one vote per Business/Institution member through its appointed representative. Associate and Honorary members shall have no vote.
Section 4: Dues shall be $10.00 for individuals and $20.00 for families per year for Regular members and $30.00 per year for Business/Institution members. Associate and Honorary members shall be granted free membership. Lifetime memberships may be awarded or acquired for the one-time payment of $100.00.
Section 5: An annual enrollment of members shall begin in the month of January. New memberships shall be available at any time. Memberships acquired prior to August expire the last day of December. Memberships acquired after July shall expire at the end of the second following December.
Section 6: Upon request, each member shall receive a receipt as evidence of payment of dues and a copy of the bylaws and a list of Officers and Board members.
ARTICLE IV - OFFICERS
Section 1: The Officers of this Association shall be a President, Vice-President, Secretary and Treasurer. Officers must be members of the Association. To be elected President, a member shall have prior experience as an Officer, Board member, or on an active committee. The same person may hold the positions of Secretary and Treasurer.
Section 2: The opportunity for the nomination and election by a simple majority vote of Officers and the Board members shall be offered at the Annual Meeting of the general membership. If no new candidates are available for an office or Board member position and there are no objections, the present Officers or Board members may continue to serve after a vote of affirmation, providing that they are willing to do so.
Section 3: The term of each office shall be for one year unless he/she shall sooner resign, or otherwise be disqualified to serve. The Board shall determine factors relative to disqualification.
Section 4: Vacancies occurring in any office shall be filled for the remaining term by a simple majority vote of the Board. Candidates may be solicited from the general membership by open nomination.
Section 5: The duties of the Officers shall include, but are not limited to, the following:
(a) President: The President shall, with the approval of the Board, appoint all standing and special committees. The President shall make an annual report to the general membership at the Annual Meeting and file such a report with the Secretary. The President or their designee is the point of contact for all "external" activities.
(b) Vice-President: The Vice-President shall assist the President and shall act in the place and stead of the President in the event of his absence, inability, or refusal to serve. The Vice-President or their designee is the point of contact for all "internal" activities.
(c) Secretary: The Secretary shall keep the minutes of all official meetings and shall keep a copy of all records and correspondence of this Association, and give notice of all meetings as directed.
(d) Treasurer: The Treasurer shall collect all monies due this Association, pay all bills approved by the Board, keep an account of all receipts and expenditures, make a report to the Board at its regular meetings, and shall furnish a current financial statement to general membership annually. The Treasurer shall cause all monies of the Association to be deposited in appropriate accounts and disbursed therefrom as directed by resolution of Board members by a simple majority vote. The Treasurer shall also establish a petty cash fund that shall be disbursed, as needed, by the Treasurer, for purpose of procuring routine items of supply, or service necessary to the operation of the Association (i.e., postage, supplies, telephone charges, reproduction costs, filing fees, etc.).
ARTICLE V - MONETARY MATTERS
Section 1: Accounts will be in the name of this Association with withdrawals permissible by the Officers.
Section 2: Reasonable maximum limits to the petty cash fund shall be appropriated by approval of a simple majority of Board members present at an official meeting. All individual procurements for over $100 shall require the signature of two Officers of the Association.
Section 3: No member, Board member, or Officer will receive directly or indirectly any compensation or pecuniary benefit from the Association, except in the form of reimbursement for expenses.
ARTICLE VI - [EXECUTIVE] BOARD
Section 1: The Board shall be the governing body for this Association and shall consist of at least nine (9) persons.
Section 2: The Board shall be restricted to Regular and Business/Institution members of the Association.
Section 3: The Board members shall have all the usual powers of directors of a corporation and shall be responsible for the direction and government of the Association. The Board shall make all rules and regulations and appoint such agents as may be necessary in its judgment to conduct the business of the Association.
Section 4: The President or a designated Board member shall officiate at the Board meetings.
Section 5: The Vice-President shall check, assist or obtain aid, if necessary, for Officers or Board members who may have received tasks during the Board meetings.
Section 6: The President and/or Vice-President shall receive or solicit suggestions for agenda items for Board meetings and General meetings. The agenda shall be made known to the Board members, Officers, and invited guests not less than five (5) days prior to the Board meetings and to the Association membership not less than seven (7) days prior to the General meetings.
Section 7: The Board members shall be elected by a simple majority vote of the general membership at the Annual Meeting. Half of the members of the Board shall be elected every even-numbered year, and the others shall be elected every odd-numbered year. All elections shall be by show of hands, voice, or by secret ballot if anyone so prefers. Voting by proxy is allowed for paid members unable to attend the elections.
Section 8: Members of the Board shall serve for a term of two years between elections or until their successors are temporarily appointed. New members may be appointed by the President to fill interim vacancies subject to the approval of the Board.
ARTICLE VII - OTHER COMMITTEES
Section 1: A Nominating Committee may be formed at the first regular meeting of the Board each year.
(a) The Nominating Committee shall consist of the Chairman, who is appointed by the President or Vice-President, plus any number of interested Regular members.
(b) The Nominating Committee shall entertain suggestions for Board members, and shall provide a single slate of candidates for the Board to be voted upon by the general membership at the Annual Meeting. This slate shall be published not less than one week prior to the meetings.
(c) Additional nominations may be accepted from the floor, provided such nomination is accompanied by the consent of the nominee.
Section 2: An Auditing Committee of up to three members of the Association may be appointed by the President at the first regular meeting of the Board each year, whose duty it shall be to audit the Treasurer's accounts as of the last day of January, and to report at the general meeting.
Section 3: A Publicity Committee consisting of a Publicity Officer, Editor, Assistant Editor and Copy Editor may be appointed by the President at the first regular meeting of the Officers and the Board each year, whose duty it shall be, but is not limited to, informing members of this Association, the City, and members of the media of activities of this Association as directed by the Board and Officers. When informing members of the Association through the Newsletter, distribution shall be done by an appointed member of the Board who may help in the preparation of said Newsletter.
Section 4: A Youth Committee may be appointed by the President and shall be advisory to the Board. Members shall represent the area youth and champion their concerns and needs. They may choose an adult associated with the youth recreation center as their advisor or spokesman.
Section 5: A Crime Prevention Committee may be appointed by the President and confirmed by the Board at the first regular meeting of the Advisory Committee each year, whose duty it shall be to maintain a regular Neighborhood Patrol, establish a rapid communications response, and coordinate with the City on issues and procedures related to Neighborhood security.
Section 6: A Neighborhood Appearance Committee may be appointed by the President and confirmed by the Board at the first regular meeting of the Advisory Committee each year, whose duty it shall be to remove reported graffiti in a timely fashion, monitor the streets and park for problems, and report to the City concerns that exceed the Association's ability to alleviate.
Section 7: A Rental Property Owners/Managers Committee may be appointed by the President and confirmed by the Board at the first regular meeting of the Advisory Committee each year, whose duty it shall be to promote responsible management of properties in the Neighborhood, act as the liaison between the Association and the property owners/managers, and strive to achieve the common goals of the Association and the owners/managers.
Section 8: A Membership Committee may be appointed by the President and confirmed by the Board at the first regular meeting of the Advisory Committee each year, whose duty it shall be to renew and add memberships annually, provide a regularly updated membership list and Bylaws of the Association for any committees or members requesting either, and maintain a resource bank of member information.
Section 9: An Aircraft Noise Committee may be appointed by the President and confirmed by the Board at the first regular meeting of the Advisory Committee each year, whose duty it shall be to monitor airplane noise related concerns of the Neighborhood and interact with the airport administrators and base personnel seeking reasonable controls on the noise levels.
Section 10: Other Standing or special committees shall be appointed by the President as deemed necessary by the Board and Officers to carry on the work of this Association.
Section 11: At its first regular meeting each year, the Officers and Board shall reaffirm any existing committees. Committees not reaffirmed at this meeting shall then cease to exist.
Section 12: Appointees for any of the above listed committees may be selected from the recommendations of the Nominating Committee. Regular members may volunteer themselves.
ARTICLE VIII - MEETINGS
Section 1: Regular meetings of the general membership shall be held at least twice yearly unless otherwise ordered by the Board.
Section 2: The first general membership meeting in the year shall be known as the Annual Meeting. The Annual Meeting shall be for the purpose of electing Officers and Board members, receiving annual reports from the Officers and committees, and conducting other business as determined by the Board. The time and place shall be announced not less than seven (7) days prior to the meeting. The Association shall make a reasonable attempt to give written notice to every household, institution, property owner, and place of business within the Association boundaries by mail, delivered handbills, telephone, prominently posted signs, or by internet home page.
Section 3: The Officers and the Board may call special meetings of the general membership as deemed necessary or as mandated by petition by a simple majority of the membership. The time and place shall be announced as early as possible prior to the selected meeting time.
Section 4: A number of members equal and in addition to the members on the Board shall constitute a quorum for the transaction of business at any general meeting of this Association. Example: A Board of nine members plus an additional nine active members (18 total) would be the minimum number required to transact business.
Section 5: The Board shall meet as necessary, but at least quarterly, to conduct the business of the Association at such time and place as determined by its members. Special meetings may be held at anytime upon the call of the President or a simple majority of the Board. All meetings conducting the business of the Association shall be open for any member or non-member to attend.
Section 6: Five members of the Board and the President or designated Board member shall constitute a quorum for the transaction of business at any meeting of the Board.
Section 7: Officers or Board members, if unable to attend scheduled meetings, should notify the President or Vice-President and, if possible, select a member to take their place.
Section 8: No election shall be held at a meeting of the Association unless the meeting and election are advertised as noted in Section 2 above.
ARTICLE IX - PARLIAMENTARY AUTHORITY
"Robert's Rules of Order Newly Revised" shall govern this Association in all cases in which they are applicable and in which they are not in conflict with these bylaws. These "Rules" may be suspended if all of those present agree to conduct business in a more informal manner.
ARTICLE X - AMENDMENTS
These bylaws can be amended at any general or special meeting of this Association by a simple majority vote of the members present, provided that each member of this Association shall have been notified in writing of the proposed amendments at least seven (7) days prior to the meeting. Simple changes to these bylaws to improve spelling, grammar, or clarity may be implemented immediately upon discovery, providing that the intent of the language is not changed.
ARTICLE XI - DISSOLUTION
In the event of dissolution of the Association, the Board shall, after payment of all liabilities of the Association, dispose of the remaining assets of the Association by donating the money to an organization with similar purposes as those listed in Article II.

We certify that the foregoing Bylaws were adopted and ratified by the Board of the Singing Arrow Neighborhood Association on the ____ day of __________, 20___ and adopted and ratified by the general membership at a meeting held on the ____ day of ___________, 20___. Following approval by the City of Albuquerque, this shall become the active charter by which the Association conducts its business.
